Provider Responsibilities
The Provider is fully responsible and accountable for all usage of the Services and Documentation, whether directly or indirectly accessed by Provider, regardless of whether such access or use complies with this Agreement. This includes the actions and omissions of Authorized Users, and any breach of this Agreement by an Authorized User will be considered a breach by Provider. Provider must make reasonable efforts to inform Authorized Users of the provisions of this Agreement that are relevant to their use of the Services and ensure their compliance with these provisions.

Service Levels
Subject to the terms and conditions of this Agreement, Company will make commercially reasonable efforts to ensure the availability of the Services to Provider. However, Company does not provide any warranty or guarantee regarding uptime or accessibility.


Provider Data
Provider grants Company a non-exclusive, royalty-free, worldwide license to reproduce, distribute, display, and perform any necessary actions regarding the Provider Data, enabling Company to provide the Services. Additionally, Provider grants Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to reproduce, distribute, modify, and otherwise use and display Provider Data incorporated within Aggregated Statistics.

Feedback
If Provider or its employees or contractors provide any communications or materials to Company, including suggestions or recommendations for changes to the Company IP, such as new features or functionality, Company can use that Feedback without any obligation or limitation. Provider assigns to Company, on its behalf and on behalf of its employees, contractors, and agents, all rights, title, and interest in the Feedback. Company is free to use the ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback for any purpose, without attribution or compensation to any party, although Company is not obligated to use any Feedback.

Warranty Disclaimer:
The Company IP is provided on an "as is" basis, and Company disclaims all warranties, whether express, implied, statutory, or otherwise. This includes disclaiming all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, as well as warranties arising from the course of dealing, usage, or trade practice. Company makes no warranty that the Company IP, Services, Site, or any products or results of their use will meet Provider's or any other person's requirements, operate without interruption, achieve any intended result, be compatible or work with any software, system, or other services, or be secure, accurate, complete, free of harmful code, or error-free. Additionally, no representation is made or warranty given regarding the completeness or accuracy of information or content presented on the Site. The Company shall not be liable for any damages or injury resulting from Provider's access to or inability to access the Site or from Provider's reliance on any information provided on the Site.

Limitations of Liability:
Under no circumstances will Company be liable under or in connection with this Agreement, whether based on breach of contract, tort (including negligence), strict liability, or any other legal or equitable theory, for any: (a) consequential, incidental, indirect, exemplary, special, enhanced, or punitive damages; (b) increased costs, diminution in value, or lost business, production, revenues, or profits; (c) loss of goodwill or reputation; (d) use, inability to use, loss, interruption, delay, or recovery of any data or breach of data or system security; or (e) cost of replacement goods or services. These limitations apply regardless of whether Company was advised of the possibility of such losses or damages or whether they were otherwise foreseeable.
